1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of Syncronos at syncronos.app and related applications, software, and services (collectively, the "Service") operated by Syncronos ("Syncronos," "we," "us," or "our").

By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Syncronos helps you organize tasks, events, and study plans, generate schedules, track follow-through, and adapt your calendar when plans change.

The Service may include free and paid features. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, to the extent permitted by law.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with permission of a parent or legal guardian who agrees to these Terms on your behalf.

You represent that the information you provide is accurate and that you have authority to enter into these Terms.

4. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@syncronos.app if you suspect unauthorized access.

You may not share accounts in a way that violates these Terms or circumvents plan limits. We may suspend or terminate accounts that are compromised, abusive, or used in violation of these Terms.

5. Subscriptions and billing

Paid plans are billed on a recurring basis through Stripe unless otherwise stated at checkout. By subscribing, you authorize us and Stripe to charge your payment method for the selected plan and renewal period.

Subscriptions renew automatically until canceled. You may cancel through the Stripe customer portal or as otherwise described in Settings. Cancellation takes effect at the end of the current billing period unless required otherwise by law.

Fees are stated before purchase and may change for future renewal periods with reasonable notice where required. Taxes may apply. Except where required by law, payments are non-refundable once a billing period has begun.

Free accounts may be subject to usage limits, including limits on automated schedule generation. We may change free-tier limits with reasonable notice.

6. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, fraudulent, or abusive purposes.
• Attempt to gain unauthorized access to accounts, systems, or data.
• Reverse engineer, scrape, or interfere with the Service except as permitted by law.
• Upload malware or content that infringes intellectual property or privacy rights.
• Circumvent billing, authentication, rate limits, or security controls.
• Use the Service to provide competing services derived from unauthorized access to our systems.

7. AI-generated content

Some features use automated or AI-assisted tools to suggest schedules, tasks, or changes. Outputs may be incomplete, inaccurate, or unsuitable for your situation.

You are solely responsible for reviewing and approving any plan before relying on it. Syncronos does not guarantee outcomes, grades, attendance, deadlines met, or calendar accuracy.

8. Your content

You retain ownership of content you submit to the Service. You grant Syncronos a worldwide, non-exclusive license to host, store, process, display, and transmit your content solely to operate, improve, and provide the Service, including AI-assisted features you request.

You represent that you have the rights needed to submit your content and that it does not violate law or third-party rights.

9. Our intellectual property

The Service, including software, design, branding, and documentation, is owned by Syncronos or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

10. Third-party services

The Service may integrate with or link to third-party services such as Google sign-in, Stripe, and AI providers. Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for us or other users, or where required by law.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive, including payment obligations accrued, disclaimers, limitations of liability, and dispute terms.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI-generated suggestions will be accurate or complete.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCORNOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Syncronos and its affiliates, officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

Before filing a claim, you agree to contact us at support@syncronos.app and attempt to resolve the dispute informally. If informal resolution fails, disputes will be brought in the state or federal courts located in Delaware, unless applicable law requires a different forum.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.
